1. Acceptance of Terms

By accessing or using Scriptclips ("the Service"), operated by Scriptclips Inc. ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Scriptclips is an AI-powered film production platform that enables users to generate scripts, characters, storyboards, animations, voiceovers, soundtracks, and final video exports using artificial intelligence technologies. The Service is provided on a credit-based usage model.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account.

4. Credits & Payments

  • Credits are the virtual currency used to access AI generation features within the Service.
  • Credits are purchased through our payment processor, Stripe, and are non-refundable once purchased.
  • Credits do not expire and are tied to your workspace, not your individual account.
  • We reserve the right to change credit pricing at any time. Existing purchased credits will not be affected by price changes.
  • If an AI generation fails due to a platform error (not a user prompt issue), credits will be automatically returned to your balance.

4a. Refund Policy & EU Right of Withdrawal

Credits are digital goods that are delivered immediately upon purchase. All credit purchases are final and non-refundable.

European Union Customers: Under EU consumer protection law (Directive 2011/83/EU), you have a 14-day right of withdrawal for online purchases. However, by purchasing credits and consenting to immediate delivery of digital content, you explicitly acknowledge and agree that:

  • The digital content (credits) will be delivered immediately upon purchase.
  • You expressly consent to the immediate performance of the contract.
  • You acknowledge that you lose your 14-day right of withdrawal once the credits are delivered to your account.

This waiver is presented and accepted at the point of purchase. If credits have not been used or delivered due to a technical error on our part, we will process a full refund.

5. Intellectual Property & Content Ownership

  • Your Content: You retain ownership of all original content you input into the Service (ideas, scripts, uploaded images).
  • Generated Content: Content generated by the AI using your inputs is owned by you, subject to the limitations of applicable law regarding AI-generated works. You may use generated content for personal and commercial purposes.
  • Our Platform: All platform code, design, trademarks, and underlying AI models remain the intellectual property of Scriptclips Inc.
  • You may not use the Service to generate content that infringes on third-party intellectual property rights.

6. Acceptable Use

You agree not to use the Service to:

  • Generate illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
  • Generate content depicting minors in inappropriate situations.
  • Infringe on intellectual property rights of others.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated systems or bots to access the Service without our written consent.
  • Interfere with or disrupt the Service or servers connected to the Service.

7. AI-Generated Content Disclaimer

Content generated by AI may not always be accurate, appropriate, or free from bias. You are responsible for reviewing all generated content before use. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.

8. Workspaces & Team Access

Workspace administrators are responsible for managing team member access and ensuring all members comply with these Terms. Credits are shared across workspace members. The workspace owner is responsible for all usage within their workspace.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Scriptclips Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. Any unused credits at the time of termination are non-refundable.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
